Wholesale: Terms and Conditions

RESALE TERMS AND CONDITIONS GOVERNING QUIKFLIP APPAREL PRODUCTS:
Our sale to you of any products from Quikflip Apparel is expressly and strictly conditional on your agreement to the below terms and conditions. Unless otherwise agreed in writing by Quikflip Apparel, these terms and conditions supersede any other terms and conditions and will govern all our sales to you of Quikflip Apparel products. Your acceptance of any Quikflip Apparel products from us acknowledges your agreement to these terms and conditions.

Quikflip Apparel reserves the right to change any policy or term below without prior notice.

INAPPROPRIATE USE OF QUIKFLIP APPAREL BRANDING:
You agree not to use any Quikflip Apparel trademarks, logos, or creative materials for any purpose without prior written approval from Quikflip Apparel.

RESALE CERTIFICATE:
Wholesalers are required to maintain a valid resale certificate.

PRICING:
Prices are subject to change without prior notice. Please confirm prices when the order is placed. All prices are FOB our warehouse. All prices are wholesale to the trade and require a valid vendor's license or resale certificate.

In an effort to promote fair competition across all our retail outlets, we have a Minimum Advertising Pricing (MAP) policy. All Quikflip Apparel products must, at a minimum, have an advertised price equal to MAP, unless an exception has been granted in writing. A current list of all products and MAP will be provided upon approval of this Wholesale Application. Quikflip Apparel reserves the right to refuse orders prospectively from customers who do not adhere to this policy.

RESTRICTIONS OVER SALE OF BLANK GARMENTS:
Unless you first decorate or embellish the Quikflip Apparel products or unless Quikflip Apparel authorizes you in writing, you agree that you will not under any circumstances re-sell any Quikflip Apparel products to any person or entity, including but not limited to consumers, wholesalers, retail stores, warehouse clubs, off-price retailers, internet or other retailers, whether such sales occur directly, indirectly, through the internet, or through any other means or devices of sale.

The phrase "decorate or embellish" shall mean "substantially modify by printing, embellishing, or decorating in such a manner as to clearly distinguish from Quikflip Apparel's product line." Quikflip Apparel shall have sole discretion to determine whether its products have been sufficiently modified in such a manner as to clearly distinguish them from Quikflip Apparel's product line.

DECORATION AND EMBELLISHMENT:
All Quikflip Apparel products have been decorated using a variety of embellishment methods, including screen printing and embroidery. Because actual temperatures, drying times, inks, or other elements of the printing process might vary based on equipment, location or any other number of factors Quikflip Apparel strongly recommends a test sample run, especially if you have a large order or if your printer does not specialize in printing on blended fabrics. If apparel fails to decorate or embellish during production, it is up to you to stop production and make any necessary adjustments. Quikflip Apparel assumes no liability for any issues that arise during decoration or embellishment. Quikflip Apparel will not give credit or reimburse for any altered apparel (e.g., printing, dying, washing, embroidering).

APPAREL SPECIFICATIONS:
Please note Quikflip Apparel makes periodic updates to garment specifications. Current inventory may include a balance of garments from a previous specification. Quikflip Apparel ships by FIFO accounting practice (i.e., First in First out).

RETURNS AND CANCELLATIONS:
Please inspect your order upon receipt. All claims for shortages or damages MUST be made within 5 working days of receipt of goods. Alteration (e.g., printing, dying, washing, embroidering) or use by you or your agent, subcontractor, or designer will constitute acceptance by you of the order and condition of the goods. Quikflip Apparel will not reimburse for any decoration costs on defective or mis-shipped goods. Returns of washed, decorated, otherwise altered, or closeout merchandise will not be accepted. All defective goods must be clearly marked over the flaw.

You may return goods for any reason within 30 days of receipt of your shipment and receive a full refund. Goods must be in perfect, unworn and unaltered condition. Returns will be subject to a 15% restocking fee, including those due to customer error or if a customer cancelled on you.

All returns MUST have a complete packing list and the Return Authorization Number (RAN), MUST be clearly marked on the outside of the carton and on the packing list. No returns will be accepted without a Return Authorization Number (RAN). Return Authorization numbers are voided if the merchandise is not received within 14 days of issue.

Note: The item(s) is your responsibility until it reaches us. For your own protection, we recommend that you send the parcel using a delivery service that insures you for the value of the goods. The cost of returning the item(s) to us is your responsibility unless otherwise specified.

All refused shipments are subject to a 15% restocking fee in addition to all freight costs.

Cancellations are subject to written approval from Quikflip Apparel. Written cancellations will be honored on all orders that have not been prepared for shipping without restocking fee.

VIOLATIONS OF TERMS:
You understand and agree that Quikflip Apparel reserves the right to refuse to permit the purchase of its products by any person or entity that, in Quikflip Apparel's sole opinion, refuses to or fails to comply with the above outlined terms and conditions. Any violation of these terms and conditions will be subject to legal action.

By submitting your Wholesale Application you agree that these resale terms and conditions shall apply to all Quikflip Apparel products that you possess or acquire, whether or not acquired or purchased previously and whether or not acquired or purchased under these terms. In other words, in order to buy Quikflip Apparel products from us now, you must agree to comply with these terms and conditions for ALL Quikflip Apparel products you have or acquire, whether or not obtained from us and whether or not such products were previously or otherwise subject to these terms. Also, these terms and conditions will apply to all Quikflip Apparel products that you acquire from us in the future.

You acknowledge and agree that all the terms and conditions set forth above are for the express benefit of Quikflip Apparel; that Quikflip Apparel is an intended third-party beneficiary of these terms and conditions; and that Quikflip Apparel shall be entitled directly, independently, and in its own name to enforce and benefit from these terms and conditions, including but not limited to by bringing lawsuits or other proceedings to enforce them. Only Quikflip Apparel may agree to waive or modify any of these terms or conditions, and such waiver or modification must be in writing. The prevailing party in any proceeding to enforce or arising out of these terms shall be entitled to recover that party’s costs and attorneys’ fees from the other party.
